§ 1. Preliminary Provisions and Definitions

  1. These Regulations for Creators set out the rules governing the provision by the Service Provider of intermediary services to Creators via the Service, in particular the conditions for concluding and performing the Framework Agreement, as well as the rights and obligations of the Parties.
  2. All terms capitalized herein shall have the meaning assigned to them in the User Regulations, unless defined otherwise below:
    1. Creator Regulations – this document.
    2. Service Provider – TRIPLACE SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ, with its registered office in Tuszyn (95-080), ul. Karłowicza 3, entered in the Register of Entrepreneurs of the National Court Register by the District Court for Łódź-Śródmieście in Łódź, 20th Commercial Division of the National Court Register under KRS No.: 0001241968, NIP: 7282911324, REGON: 544800216, share capital: PLN 5,000. E-mail address: contact@triplace.pl.
    3. User – a natural person who is at least 18 years of age and has full legal capacity, including in particular the capacity to place orders for the preparation of individual Travel Plans, using the Services for private purposes, who has previously accepted the User Regulations. Users may also include persons under 18 years of age to the extent that they may acquire rights and incur obligations under generally applicable law, as well as legal persons and organizational units without legal personality, provided that they use the Service for purposes unrelated to their business activity.
    4. Creator – a third party offering its Services via the Service. The legal status of each Creator (entrepreneur / natural person) is indicated on their profile on the Service. Shareholders of the Service Provider may also act as Creators on the Service; in such a case they shall be subject to the same treatment as other Creators.
    5. Intermediary Service – a service provided electronically by the Service Provider to the Creator, consisting of making the Service functionalities available in order to enable the Creator to conclude Contracts for Specific Work with Users, including handling the payment and communication process.
    6. Framework Agreement – an agreement for the provision of the Intermediary Service concluded under the terms set out in these Creator Regulations.
    7. Creator Service – a service consisting of the preparation by the Creator, for the benefit of the User, of a personalized travel plan constituting a work within the meaning of copyright law.
    8. Contract for Specific Work – an agreement concluded directly between the Creator and the User, the subject matter of which is the performance of the Creator Service.
    9. Commission – remuneration due to the Service Provider from the Creator for the provision of the Intermediary Service, calculated as a percentage of the value of each concluded Contract for Specific Work.

§ 2. Creator Statuses

  1. Upon registration on the Service, the Creator is obliged to specify their legal status by selecting one of the following options:
    1. Entrepreneur – a natural person, legal person, or organizational unit for whom the provision of Creator Services falls within the scope of their business or professional activity.
    2. Natural Person – a natural person not conducting business activity.
  2. Regardless of the declared status, for the purposes of these Creator Regulations and in order to ensure compliance with applicable laws, the following additional distinction is introduced:
    1. Creator with Consumer Rights – this status applies to:
      • a Creator who is a Natural Person;
      • a Creator who is an Entrepreneur (a natural person conducting business activity) who concludes a Framework Agreement with the Service Provider, where the content of the agreement and the subject matter of their business activity (as indicated in CEIDG) demonstrate that it is not related to their business or professional activity.
    2. Professional Creator – a Creator who is an Entrepreneur and does not meet the criteria for being recognized as a Creator with Consumer Rights.
  3. The Creator bears full responsibility for correctly determining their status and is obliged to update it immediately in the event of any change.

§ 3. Conclusion of the Framework Agreement

  1. The Framework Agreement is concluded by completing the Creator registration form and accepting these Creator Regulations. Acceptance constitutes a declaration of intent to conclude the agreement in electronic form.
  2. An additional condition for activation of the Account and commencement of the provision of the Intermediary Service is the successful completion by the Creator of the identity verification procedure (KYC/KYB) required by the external payment operator (Stripe). The Service Provider is not a party to this process and bears no responsibility for its outcome.
  3. The Creator declares that the data provided during registration is true and complete.

§ 4. Rules for the Provision of Services by the Service Provider (Intermediary Service)...........

  1. As part of the Intermediary Service, the Service Provider undertakes to:
    1. Provide the Creator with an Account enabling the management of their profile, offers, and performance of Contracts for Specific Work.
    2. Ensure technical means for presenting the Creator’s offers and communicating with Users.
    3. Handle the payment process from Users and settle accounts with the Creator under the terms set out in § 6.
    4. Conduct general promotional activities for the Service.
  2. The Service Provider shall make efforts to ensure uninterrupted operation of the Service; however, it shall not be liable for interruptions resulting from causes beyond its control or necessary maintenance works.

§ 5. Obligations of the Creator

  1. The Creator undertakes to:
    1. Perform Contracts for Specific Work with due diligence, reliably and in a timely manner, in accordance with the offer and arrangements made with the User.
    2. Maintain current and truthful information on their profile on the Service.
    3. Comply with the provisions of these Creator Regulations and the User Regulations.
    4. Independently and correctly fulfill all public-law obligations (tax and insurance obligations) related to remuneration obtained under concluded Contracts for Specific Work.
    5. Strictly comply with the prohibition on offering package travel services and making any reservations on behalf of Users, in accordance with the provisions of the User Regulations.
  2. The Creator bears sole and full responsibility for the content, quality, and legality of the Creator Services provided by them. The Creator undertakes to indemnify the Service Provider against any claims by Users or third parties arising from improper performance of a Contract for Specific Work.

§ 6. Remuneration and Settlements

  1. For the provision of the Intermediary Service, the Service Provider shall charge a Commission in the amount of 20% (twenty percent) of the total gross amount paid by the User under the Contract for Specific Work. The Commission is a net amount, to which the Service Provider shall add value added tax (VAT) in accordance with the applicable regulations.
  2. Payments on the Service are processed by an external payment operator (Stripe). Funds paid by the User are allocated to an individual technical settlement sub-account of the Creator, where they remain blocked (under the Escrow model) until the Creator Service has been duly performed.
  3. Upon proper performance of the Creator Service and its acceptance by the User (or upon expiry of the deadline for filing a complaint), the remuneration amount shall be released, reduced by the Commission due, and transferred to the balance of funds available for withdrawal.
  4. Withdrawals shall be made by the 15th day of the month following the settlement month, provided that a minimum amount of PLN 100.00 has been accumulated in the balance. If the balance is lower, the funds shall be carried forward to the next settlement period.
  5. After the end of the settlement month, the Service Provider shall make available to the Creator, through the Account, an electronic transaction statement. Based on this statement, the Service Provider shall issue to a Creator who is an Entrepreneur a collective invoice for the Commission charged in the given month. For Creators who are Natural Persons, the statement shall constitute an accounting document confirming the amount of income obtained. At the request of a Creator who is a Natural Person, the Service Provider shall issue an invoice documenting the Commission charged, in accordance with the applicable regulations.

§ 7. Complaint Procedure for Creators

  1. The Creator has the right to file a complaint regarding the Intermediary Service provided by the Service Provider, in particular with respect to the functioning of the Service, technical issues relating to the Account, or the settlement process.
  2. A complaint shall be submitted electronically to the following e-mail address: creators@triplace.pl.
  3. The complaint should contain at least the data identifying the Creator, a detailed description of the issue, and a specification of the request.
  4. The Service Provider shall examine the complaint and provide a response within 14 days from the date of its receipt. The response shall be sent to the e-mail address from which the complaint was submitted.

§ 8. Special Provisions for Creators with Consumer Rights

This section applies exclusively to Creators with Consumer Rights.

  1. A Creator with Consumer Rights has the right to withdraw from the Framework Agreement without stating any reason within 14 days from the date of its conclusion.
  2. The notice of withdrawal may be submitted by means of an unequivocal declaration of intent sent electronically or by deleting the Creator Account.
  3. The right to withdraw from the Framework Agreement shall not apply if, before the expiry of the 14-day period, the Creator, by selecting the appropriate checkbox on the Service, expressly consented to the commencement of the provision of the Intermediary Service (i.e., activation of their profile and enabling them to accept assignments) and was informed that, following this operation, they would lose the right to withdraw.
  4. Contractual provisions less favorable to a Creator with Consumer Rights than the provisions of the Consumer Rights Act, or prohibited contractual provisions within the meaning of the Civil Code, shall be null and void, and the relevant provisions of law shall apply in their place.

§ 9. Content Moderation, Suspension and Termination of the Agreement (DSA and P2B Procedures)

Part 1. General Provisions

  1. The Service Provider may decide to impose restrictions on the provision of the Intermediary Service, such as the removal of specific content, suspension, or termination of the Framework Agreement (deletion of the Account), where the Creator violates the law or materially breaches the provisions of the Creator Regulations or the User Regulations.
  2. The procedures described in this section comply with the requirements of Regulation (EU) 2022/2065 of the European Parliament and of the Council (Digital Services Act – DSA) and Regulation (EU) 2019/1150 of the European Parliament and of the Council (P2B Regulation).

Part 2. Statement of Reasons

  1. The Service Provider shall inform the Creator electronically of any decision imposing a restriction, providing a statement of reasons which shall include:
    1. A description of the restriction imposed, its scope, and duration.
    2. The facts and circumstances forming the basis of the decision.
    3. An indication of the legal or regulatory basis of the decision.
    4. Information on the possibility of appealing the decision.

Part 3. Suspension of the Provision of the Intermediary Service

  1. In the event of violations, the Service Provider may, before deciding to permanently terminate the Framework Agreement, first suspend the Creator’s Account for a specified period of not less than 30 days in order to enable the Creator to clarify the situation or remedy the violation.

  2. The Service Provider shall inform the Creator of its intention to suspend the Account at least 15 days in advance, providing the reasons therefor, unless suspension is necessary due to an overriding public interest or for the protection of other participants of the Service.

Part 4. Termination of the Framework Agreement (Deletion of the Account)

  1. The Service Provider may terminate the Framework Agreement with immediate effect (by permanently deleting the Account) only in the event of:
    1. Gross and persistent violations of the Regulations, despite prior warnings.
    2. Providing content that is manifestly unlawful.
    3. The existence of a legal obligation requiring the deletion of the Account.
  2. Where the Service Provider intends to terminate the Agreement for reasons other than those specified in paragraph 6, it shall provide the Creator with a statement of reasons at least 30 days before the date of termination. Within this period, the Creator shall have the right to submit explanations, which shall be considered before a final decision is made.

Part 5. Internal Complaint-Handling System

  1. The Creator has the right to submit, free of charge, a complaint (appeal) against a moderation decision or the suspension/deletion of the Account within 6 months of receiving such decision, via the following e-mail address: dsa@triplace.pl.
  2. Complaints shall be handled in a non-discriminatory and non-arbitrary manner. The Service Provider shall inform the Creator of its decision regarding the complaint, indicating the possibility of using out-of-court dispute resolution methods.

§ 10. Amendments to the Regulations

  1. The Service Provider reserves the right to amend these Creator Regulations for important reasons, such as changes in legal provisions, the introduction of new functionalities, or changes in market conditions.
  2. The Service Provider shall inform the Creator of any planned amendment at least 15 days in advance by sending a notification to the e-mail address associated with the Account.
  3. A Creator who does not accept the amendments has the right to terminate the Framework Agreement by deleting their Account before the amendments enter into force. Failure to object shall be deemed acceptance of the new Creator Regulations.

§ 11. Other Provisions (Personal Data, Copyright, Prohibitions)

Personal Data

  1. The Service Provider is the controller of the Creator’s personal data to the extent necessary for the provision of the Intermediary Service. The Creator is a separate controller of the personal data of the User with whom they have concluded a Contract for Specific Work. The Parties undertake to process personal data in accordance with the GDPR.

Copyright

  1. The Creator represents that they hold the full economic copyright to the Creator Services and that such services do not infringe the rights of third parties. The Creator grants the Service Provider a non-exclusive, royalty-free licence to use the work to the extent necessary for the operation of the Service.

Access to Data

  1. The Creator has access, through their Account, to data relating to their activity on the Service (e.g., transaction history, statistics). Following termination of the Framework Agreement, access to such data shall remain available for a minimum period of 12 months in order to enable settlements, after which the data shall be anonymized or deleted, subject to obligations arising under applicable law.

§ 12. Final Provisions

  1. The Framework Agreement is concluded for an indefinite period.
  2. Either Party may terminate the Agreement by giving one month's notice. The notice of termination should be submitted in electronic form.
  3. The law governing the Agreement shall be Polish law.
  4. Any disputes arising from the Framework Agreement shall first be resolved amicably. In the absence of an agreement:
    1. Disputes involving a Professional Creator shall be resolved by the court having jurisdiction over the registered office of the Service Provider.
    2. Disputes involving a Creator with Consumer Rights shall be resolved by the court having jurisdiction in accordance with the provisions of the Code of Civil Procedure.
  5. For the purpose of out-of-court dispute resolution, the Service Provider is prepared to cooperate with specialized, independent mediation institutions, such as the Mediation Centre of the Supreme Bar Council or the Mediation Centre of the National Chamber of Legal Advisers.
  6. Attached to the Regulations is a model withdrawal form for Creators with Consumer Rights.
